1. Provider and scope
The provider and contracting party for new trial accounts and new orders is Tiprax GmbH, Mendelssohn-Bartholdy-Str. 15, 14480 Potsdam, Germany, registered in the Commercial Register under HRB 42411 P at Potsdam Local Court (Amtsgericht Potsdam). Contact: info@digiprax.com.
This offer is exclusively for businesses and professionals acting in the course of their trade, business or profession within the meaning of section 14 of the German Civil Code (BGB), who use DigiPrax for their practice. Publication of these terms neither amends existing customer contracts nor transfers them to another contracting party. Individually agreed terms take precedence.
2. Free trial
Tiprax GmbH provides DigiPrax free of charge for evaluation for 30 days from activation. The trial ends automatically; no cancellation is required. It does not automatically renew as a paid subscription, and registering for the trial does not create any payment obligation.
Only fictitious patient data may be used during the trial. Real patient data and other health data must not be entered. The trial account is for evaluation and is not intended for day-to-day practice operations.
3. Use and access
For the agreed period, the user receives a non-exclusive, non-transferable right to use the web application provided for their practice. Login credentials must be kept confidential. Use is limited to the user and persons within their practice whom they authorise. An internet connection and a suitable, up-to-date browser are required.
4. Separate order for paid use
Paid use requires a separate, explicit order and its acceptance by Tiprax GmbH. Registration for the free trial does not constitute such an order. The scope of services, price, contract start date, billing arrangements and term are presented before the order is placed.
The standard plan offered costs EUR 29.70 per month, including statutory VAT, with a minimum contract term of twelve months from the separately agreed start of paid use. The free trial period does not count towards the minimum term. Different offers require a separate agreement.
Either party may terminate the paid contract by giving two weeks’ notice to the end of a calendar month, with termination taking effect no earlier than the end of the minimum term. After the minimum term, the contract continues for an indefinite period and may be terminated at the end of any calendar month with the same notice period. Notice may be given in text form, including by email to info@digiprax.com. The right to terminate for good cause without notice remains unaffected.
SEPA direct debits require a separately granted mandate containing the correct creditor details. No direct debit mandate is required for the free trial.
5. Data protection and the end of the trial
Trial access is blocked when the free trial ends. Trial data is deleted from active systems no later than 30 days after the trial ends. Backup copies are overwritten as part of the rolling backup cycle within a further 30 days at the latest. Contractual and accounting documents subject to statutory retention obligations are excluded and retained for the applicable statutory periods.
Information about the processing of personal data is provided in the Privacy Policy. An appropriate data processing agreement must be concluded before real patient data is processed during paid use. The return and deletion of practice data at the end of the paid contract are governed by that agreement and the applicable statutory provisions.
6. Remedies for defects and liability
Statutory provisions apply to remedies for defects and liability. Claims arising from the usage contract should be addressed to Tiprax GmbH.
7. Final provisions
German law applies. Jurisdiction and the consequences of any invalid provisions are governed by the statutory rules.
